EasyTun Referral Agreement

Sole Proprietor Slonimsky Grigoriy Alexandrovich (TIN 770971796064, OGRNIP 324774600228445), hereinafter "Service Provider", publishes in the public domain on the Internet at https://easytun.io/referral-offer this Referral Agreement (hereinafter "Agreement"), which constitutes a public offer within the meaning of Articles 435 and 437 of the Civil Code of the Russian Federation (hereinafter "RF CC"), addressed to any legally capable individual, hereinafter "Referrer".

This Agreement constitutes an adhesion contract within the meaning of Article 428 of the RF CC.

1. Terms and Definitions

1.1. Referrer — an individual who has accepted the terms of this Agreement and participates in the Service Provider's referral programme. Participation in the referral programme is available exclusively to individuals; sole proprietors and self-employed tax payers are not eligible due to restrictions imposed by the YooKassa Payouts payment gateway (clause 6.4 of the Agreement).

1.2. Referred User — an individual who previously had no paid EasyTun Subscription, who visited the Website via the Referrer's Referral Link, registered an account, and made their first Subscription payment.

1.3. Referral Link — a unique URL generated for the Referrer in the Personal Account, containing the Referrer's personal Referral Code.

1.4. Referral Code — a unique alphanumeric identifier assigned to the Referrer by the system upon activation of referral programme participation.

1.5. Referral Balance — the amount of Commission accrued but not yet paid to the Referrer, as displayed in the Personal Account.

1.6. Commission — funds accrued to the Referrer for each payment made by a Referred User, amounting to 30% (thirty percent) of the net payment amount (clause 5.2 of the Agreement).

1.7. Withdrawal Request — the Referrer's request to transfer Commission from the Referral Balance to a bank card or via the Faster Payments System (FPS), submitted through the Personal Account.

1.8. Settlement Period — a calendar day in Moscow time (00:00 to 23:59 MSK), during which Commission accruals are processed.

1.9. Personal Account — the Referrer's personal section on the Website at https://easytun.io, accessible after authentication.

1.10. Subscription — the paid period of access to the EasyTun VPN service in accordance with the applicable Tariff.

1.11. Net Payment Amount — the amount actually received by the Service Provider after deduction of the YooKassa payment gateway fee.

2. Subject Matter

2.1. The Referrer provides the Service Provider with a customer acquisition service (attracting Referred Users to EasyTun) by distributing the Referral Link, and the Service Provider pays the Referrer a Commission for each Referred User in the manner and on the terms of this Agreement.

2.2. The referral programme is single-level: Commission is accrued only for payments made by persons directly referred by the Referrer (first-level Referred Users).

2.3. Commission is accrued on all payments made by the Referred User (not just the first), for as long as the Referred User's Subscription is active (LTV — lifetime value model). If the Referred User stops paying and later renews their Subscription, accruals resume.

2.4. This Agreement is for consideration: Commission is paid for the customer acquisition service actually rendered.

3. Acceptance Procedure

3.1. Acceptance of this Agreement requires the Referrer to perform all of the following actions in the Personal Account:

• click the "Accept Referral Agreement" button;
• provide payout details (bank card number or phone number for FPS).

3.2. Upon Acceptance, the Referrer is deemed to have read and fully accepted the terms of this Agreement (Article 438(3) of the RF CC). The Contract is concluded in electronic form (Article 434(3) of the RF CC).

3.3. Participation in the referral programme is available only to registered Website users who have an active or previously active EasyTun Subscription.

4. Rights and Obligations of the Parties

4.1. The Referrer is entitled to:

4.1.1. Distribute the Referral Link by any lawful means (personal messages, social media, blogs, messengers, email), provided that advertising and personal data laws are complied with.

4.1.2. Track the number of referred users, accruals and payment history in the Personal Account.

4.1.3. Submit a Withdrawal Request once the minimum amount is reached (clause 6.1 of the Agreement).

4.1.4. Withdraw from the referral programme at any time (clause 11 of the Agreement).

4.2. The Referrer is obliged to:

4.2.1. Provide accurate personal data upon Acceptance of the Agreement.

4.2.2. Not use spam, bots, misleading advertising, fake reviews or other unfair methods for attracting Referred Users.

4.2.3. Not disseminate information that damages the Service Provider's business reputation.

4.2.4. Acknowledge that the Commission constitutes taxable income, the taxation of which is set out in Section 7 of the Agreement.

4.3. The Service Provider is entitled to:

4.3.1. Decline to accrue Commission or reverse previously accrued Commission upon discovery of fraudulent activity (Section 8 of the Agreement).

4.3.2. Suspend payments pending identity verification of the Referrer for compliance purposes (Article 6 of Federal Law No. 115-FZ of 07.08.2001 "On Countering the Legalisation (Laundering) of Proceeds from Crime and the Financing of Terrorism").

4.3.3. Amend the terms of this Agreement in the manner provided in Section 11.

4.4. The Service Provider is obliged to:

4.4.1. Accrue Commission in a timely manner in accordance with Section 5.

4.4.2. Transfer Commission pursuant to Withdrawal Requests within the timeframes provided in Section 6.

4.4.3. Ensure transparency of accruals and payments through the Personal Account.

4.4.4. Fulfil the obligations of a personal income tax (PIT) withholding agent in accordance with Article 226 of the Tax Code of the Russian Federation with each Commission payment to the Referrer.

5. Commission Accrual Procedure

5.1. Commission is accrued automatically after each confirmed payment by the Referred User for an EasyTun Subscription.

5.2. Commission calculation formula:

Commission = (payment_amount − YooKassa_fee) × 30%

Where "YooKassa_fee" is the acquiring fee of the OOO NKO "YuMani" payment gateway, deducted when processing the Referred User's payment.

5.3. Commission is accrued in Russian roubles.

5.4. Accruals made during the Settlement Period (00:00–23:59 MSK) are reflected in the Referral Balance and become available for withdrawal on the next banking day.

5.5. Commission is not accrued:

• for payments subsequently refunded to the Referred User (refund/chargeback);
• for trial (free) periods;
• for payments made by the Referrer for their own Subscription (self-referral);
• for payments made by persons who are not Referred Users within the meaning of clause 1.2 of the Agreement.

5.6. In the event of a refund of a Referred User's payment, the Service Provider may reverse (charge back) previously accrued Commission from the Referral Balance. If the balance becomes negative, the amount is deducted from future accruals.

6. Commission Withdrawal Procedure

6.1. The minimum Withdrawal Request amount is 500 (five hundred) roubles.

6.2. Withdrawal Requests are submitted through the Personal Account. Requests are accepted daily from 00:00 to 23:00 MSK. From 23:00 to 00:00 MSK (daily settlement window), submissions are unavailable.

6.3. Payment is made on the next banking day following the Withdrawal Request. If the payment date falls on a weekend or public holiday, payment is deferred to the next banking day.

6.4. Payment methods: a bank card issued in the Russian Federation or the Faster Payments System (FPS) via the YooKassa Payouts API (OOO NKO "YuMani"). Payouts are made exclusively to individuals who are citizens of the Russian Federation in accordance with YooKassa Payouts rules. Payouts to sole proprietors, self-employed persons and legal entities are not made under this Agreement.

6.5. Payments are made in Russian roubles. Payments in other currencies are not available.

6.6. When processing a withdrawal, YooKassa may request additional identity verification from the Referrer (passport details) for compliance with Russian Federation law.

6.7. The Service Provider shall not be liable for delay or failure to transfer Commission caused by:

• the Referrer providing incorrect payout details;
• rejection by the receiving bank;
• technical failures of the payment gateway;
• blocking of operations by the receiving bank or the Bank of Russia.

7. Taxation

7.1. Commission paid to a Referrer who is an individual constitutes income from the provision of services within the meaning of Article 208 of the Tax Code of the Russian Federation and is subject to personal income tax (PIT).

7.2. The Service Provider acts as a PIT withholding agent in accordance with Article 226(1) of the Tax Code of the Russian Federation. With each actual Commission payment, the Service Provider is obliged to calculate, withhold and remit PIT to the budget of the Russian Federation.

7.3. PIT rates are established by Article 224(3.1) of the Tax Code of the Russian Federation (as amended effective 1 January 2025) and depend on the Referrer's aggregate taxable income for the tax period (calendar year):

The Service Provider applies rates in respect of income paid by it directly. Recalculation taking into account aggregate income from all sources is performed by the tax authority at the end of the tax period.

7.4. The Referrer receives the Commission amount to their bank card or via FPS net of withheld PIT. The net payout amount is displayed in the Personal Account prior to submitting a Withdrawal Request.

7.5. The Service Provider independently remits the withheld PIT to the budget within the deadlines set by Article 226(6) of the Tax Code of the Russian Federation, and files Form 6-NDFL tax reports with the Federal Tax Service of Russia.

7.6. Upon request by the Referrer (sent to referral@easytun.xyz), the Service Provider provides a certificate of income and tax amounts for an individual (Form 2-NDFL / KND 1175018) for the relevant tax period.

7.7. The Referrer is not independently required to declare Commission from which the Service Provider has withheld PIT in full. The obligation to file a Form 3-NDFL return may arise for the Referrer exclusively in cases provided by Article 228 of the Tax Code of the Russian Federation (where there are other income sources not accounted for by the Service Provider as withholding agent).

8. Restrictions and Anti-Fraud

8.1. Self-referral is prohibited. A Referral Link used by the Referrer to pay for their own Subscription is not counted. No Commission is accrued for such a payment.

8.2. Affiliated registrations. Persons matching the Referrer by one or more of the following criteria are not counted as Referred Users:

• the same IP address at registration;
• use of the same device (by browser/device identifier);
• use of the same payment account (the same bank card) to pay for the Referrer's and the prospective Referred User's Subscriptions.

8.3. A person is not a Referred User if they previously had a paid EasyTun Subscription (regardless of its current status). The referral programme applies only to new customers.

8.4. The Service Provider may decline to accrue Commission or reverse previously accrued Commission upon reasonable suspicion of fraud, including:

• mass registrations showing signs of automation (bots);
• repeated registrations of the same person under different accounts;
• use of compromised payment data;
• distribution of the Referral Link in a manner that misleads users (impersonating the Service Provider's official channels, offering discounts not authorised by the Service Provider).

8.5. Decisions to decline accrual are based on the Service Provider's internal anti-fraud controls. The Service Provider is not required to disclose specific anti-fraud algorithms or criteria.

8.6. The Service Provider may suspend payments to a Referrer pending identity verification in the event of suspicious activity, for compliance with the requirements of Federal Law No. 115-FZ of 07.08.2001 and YooKassa compliance rules.

9. Liability of the Parties

9.1. The Referrer is liable for:

• the accuracy of personal data and payout details provided;
• compliance with advertising and personal data laws when distributing the Referral Link;
• losses caused to the Service Provider as a result of breach of this Agreement.

9.2. The Service Provider is liable for:

• timely accrual of Commission in accordance with Section 5;
• transfer of Commission pursuant to Withdrawal Requests within the timeframes provided in Section 6;
• performance of PIT withholding agent obligations in accordance with Section 7.

9.3. The Service Provider shall not be liable for the impossibility of transferring Commission for the reasons specified in clause 6.7 of the Agreement.

9.4. The Referrer's lost profits shall not be subject to compensation.

9.5. The aggregate liability of the Service Provider under this Agreement is limited to the amount of Commission actually accrued to the Referrer during the last 3 (three) months.

10. Confidentiality

10.1. The Parties undertake not to disclose to third parties any confidential information that has come to their knowledge in connection with the performance of this Agreement, including: personal data of Referred Users and Referrers, Commission amounts, and terms of individual arrangements (if any).

10.2. The fact of the Referrer's participation in the EasyTun referral programme is not confidential information.

10.3. Confidentiality obligations remain in effect for the duration of this Agreement and for 3 (three) years after its termination.

10.4. Confidentiality restrictions do not apply to information whose disclosure is required by the laws of the Russian Federation or upon request by authorised government authorities.

11. Amendment and Termination

11.1. The Service Provider may unilaterally amend the terms of this Agreement. The new version is published on the Website at https://easytun.io/referral-offer. Amendments take effect 30 (thirty) calendar days after publication, unless a later effective date is specified in the new version itself.

11.2. Continued participation in the referral programme after the amendments take effect constitutes the Referrer's consent to the new version.

11.3. The Referrer may terminate this Agreement at any time by sending a notice through the Personal Account or to referral@easytun.xyz.

11.4. The Service Provider may unilaterally terminate this Agreement with a specific Referrer in the event of systematic violations of the Agreement's terms (including anti-fraud restrictions), notifying the Referrer by email.

11.5. Upon termination of the Agreement, any unpaid Referral Balance is transferred to the Referrer within 60 (sixty) calendar days, provided the balance is no less than 500 (five hundred) roubles. If the balance is below the minimum withdrawal amount, it is cancelled 180 (one hundred and eighty) calendar days after termination in the absence of additional accruals.

11.6. Termination of this Agreement does not affect obligations of the Parties that arose prior to termination (including obligations to pay accrued Commission and to maintain confidentiality).

12. Dispute Resolution

12.1. All disputes arising from or in connection with this Agreement shall be resolved by the Parties through negotiations.

12.2. Pre-trial claims procedure is mandatory. Claims are submitted by email (by the Referrer to referral@easytun.xyz, by the Service Provider to the Referrer's address). The claim review period is 30 (thirty) calendar days from the date of receipt.

12.3. If agreement is not reached, the dispute shall be referred to a court at the place of the Service Provider's location (Moscow) in accordance with the laws of the Russian Federation.
